1. Le Vendeur ne sera aucunement lié par les commandes ou contrats qui n'auront pas reçu son autorisation ou approbation. Les représentants du Vendeur n'ont aucunement l'autorisation d'engager celui-ci. Le Vendeur n'est pas responsable des erreurs typographiques.
2. Le Vendeur n'est pas responsable de la perte, le retard ou le dommage causé par son incapacité d'obtenir le matériel par suite d'un incendie, de grèves, de lock-out, d'accidents, d'actes ou d'exigences d'un gouvernement ou par la suite d'embargos, d’insurrections ou d'émeutes, ou par toute autre cause indépendante de sa volonté ou de celle de ses fournisseurs.
3. L'annulation d’une commande avant l'expédition de la marchandise entraînera des frais d'annulation.
4. Termes : Net 30 jours. Le Vendeur aura le choix de facturer au prorata l'expédition partielle de marchandises ou toute autre expédition de marchandises retardées par l'Acheteur. Les prix soumis devront être acceptés dans les 30 jours de la soumission.
5. Les prix soumis sont F.A.B. usine ou F.A.B. VDDO/QAT et, à moins d'indication contraire, les frais de transport sont en sus. Lorsque le coût du transport est inclus et indiqué, celuici est prépayé seulement jusqu'à la voie de garage ou jusqu'au terminus des camions situés à proximité des destinations. Quant aux marchandises dont le coût du transport est compris dans le prix de vente, la compagnie se réserve le droit de choisir le transporteur et l'itinéraire de ce dernier.
6. Les prix soumis sont fixes quand l'expédition des marchandises est faite dans les 30 jours de la date de la soumission. Quant aux marchandises expédiées plus de 30 jours aprèsla date de soumission, les prix seront rajustés au moment de l'expédition avec les prix en vigueur à ce moment.
7. Les taxes indiquées sont calculées selon les taux actuels. Toute augmentation de taxe sera imputable si cette augmentation entre en vigueur avant l'expédition des marchandises.
8. Le Vendeur garanti les biens contre toute réclamation légitime d'un tiers pour contrefaçon de brevet ou toute réclamation semblable, et le Vendeur tiendra l'Acheteur à couvert contre telle réclamation. Cependant, si l'Acheteur fournit des spécifications, il doit tenir le Vendeur à couvert contre toute réclamation qui pourrait surgir du fait que le Vendeur s'y est conformé.
9. L'expédition et la livraison de marchandises seront en toutes circonstances sujettes à l'approbation du service de crédit du Vendeur.
10. Le Vendeur remplacera, au point initial de livraison, l'équipement qui, à la vérification et avant l'installation, est défectueux ou non-conforme aux spécifications pertinentes, à la condition toutefois qu'un avis écrit lui ait été donné promptement au sujet du dit défaut ou de la non-conformité et que le Vendeur ait eu un temps raisonnable pour vérifier l'équipement en question. Cependant, le Vendeur ne pourra être tenu responsable en ce qui concerne les frais de main d'oeuvre engagés pour cet équipement, ou pour toutdommage spécial ou indirect séparé subi par quiconque. Si l'Acheteur ne donne pas de tel avis écrit, l'équipement sera réputé être à tous les égards conforme aux spécifications.
11. Le Vendeur n'est pas responsable pour les dommages spéciaux, indirects ou incidents. Les recours de l'Acheteur énoncés aux présentes sont ses seuls recours et la responsabilité du Vendeur relativement à tout contrat ou à tout ce qui touche le contrat, tel que son exécution ou bris de contrat, sa responsabilité relativement à la fabrication, la vente, la livraison, la revente, l'installation ou les directives techniques concernant l'installation, la réparation ou l'utilisation de l'équipement couvert ou fourni par le présent contrat, que ce soit contractuellement, délictuellement ou autrement, ne doit pas excéder le prix de l'équipement ou des pièces qui donnent lieu à la responsabilité.
12. À moins d'indication contraire à la soumission, les prix comprennent un exemplaire des plans demandés par l'Acheteur dans sa demande de soumission. Si des plans additionnels sont requis ou si l’Acheteur a apporté des changements, ce service sera offert seulement au moment de la réception d'un avis écrit autorisant le paiement des frais supplémentaires pour ces plans additionnels.
13. II y a lieu de communiquer avec le siège social concernant les conditions spéciales quant à l’équipement destiné à l'usage nucléaire.

GARANTIE

1. Le Vendeur garanti à l'Acheteur initial, pour une période maximale de 18 mois suivant la date d'expédition ou de 12 mois suivant la date de leur installation, selon la première éventualité, que tous produits neufs fabriqués par lui et tous matériaux utilisés pour leurs fabrications sont exempts de défectuosités de fabrication, et il s'engage de façon limitative, et sous condition d'avoir été avisé par écrit sans délai de telle défectuosité, à en effectuer, à son choix, la réparation ou le remplacement, et ce, à sa discrétion, F.A.B. son usine ou à l'endroit où se trouve le produit. Cette garantie ne s'applique pas dans les cas d'installation défectueuse du produit, d'usure normale, d'usage anormal ou abusif, d'entretien déficient, de réparation par d'autres que le Vendeur ou des cas fortuits, ni en cas d'abrasion, de corrosion ou d'érosion. Cette garantie de n'applique pas non plus aux dommages directs, spéciaux, incidents ou indirects pouvant résulter de l'usage ou de toute défectuosité des produits du Vendeur.
2. LA GARANTIE EXPRESSE SUSMENTIONNÉE REMPLACE TOUTES LES AUTRES GARANTIES, EXPRESSES OU IMPLICITES, Y COMPRIS LES GARANTIES VOULANT QUE LES BIENS SONT DE QUALITÉ MARCHANDE ET PROPRES À L'USAGE AUQUEL ILS SONT DESTINÉS ET CONSTITUE LA SEULE GARANTIE OFFERTE PAR LE VENDEUR.
3. Les seules garanties applicables aux produits fabriqués par d'autres et distribués par le Vendeur sont celles offertes par le fabricant de ces produits, et seul tel fabricant pourra en être tenu redevable.

TERMS AND CONDITIONS OF SALE

1. The Seller shall not be bound by orders or contracts which have not been authorized orapproved by the Seller. The Seller’s representatives have no authority to bind the Seller.Typographical errors are not binding.
2. The Seller shall not be held responsible for any loss, delay or damage caused by its inabilityto secure material as a result of fire, strikes, lockouts, accidents, Government acts orrequirements, embargoes, insurrections or riots, or by any other cause beyond its control orthat of its suppliers.
3. An order cancelled prior to shipment will be subject to cancellation fees.
4. Terms: Net 30 days. The Seller shall have the option of billing on a pro-rata basis for the partialshipment of goods or any other shipment of goods delayed by the Buyer. Quotations aresubject to acceptance within thirty (30) days from date thereof.
5. Prices quoted are F.O.B. Plant or F.O.B. VDDO/QAT and, unless otherwise specified, freightcharges are extra. When the cost of freight is included and indicated, it is prepaid only to therailway sidings or truck terminals located near the destination. On freight-allowed shipments,the Seller reserves the right to select the carrier and routing.
6. Prices quoted are firm when shipment of goods occurs within 30 days from the date of thequotation. For goods shipped more than 30 days after the date of quotation, prices will beadjusted at the time of shipment with the prices in effect at that time.
7. Taxes shown are calculated at current rates. Any tax increase will be chargeable if suchincrease comes into effect before shipment of goods occurs.
8. The Seller warrants the goods against any legitimate claim by a third party for patentinfringement or the like, and the Seller agrees to indemnify the Buyer from any such claim.However, if the Buyer provides specifications, he must indemnify the Seller against any claimswhich may arise out of compliance with the specifications.
9. Shipment and delivery of goods shall at all times be subject to the approval of the Seller'scredit department.
10. The Seller will replace, at the original point of delivery, material which, upon inspection andprior to installation, is defective or does not conform to the relevant specifications, providedthat prompt written notice of such defect or non-conformity has been given to the Seller, andthat the Seller has had a reasonable time to inspect the material. However, the Seller shall notbe liable for any labor costs incurred on such material, or for any separate special indirect orconsequential damages suffered by anyone. If the Buyer gives no such written notice, thematerial shall be deemed compliant in all respects to the specifications.
11. The Seller is not liable for special, consequential or incidental damages. The Buyer’s remediesset forth herein are the Buyer’s sole remedies, and the Seller’s liability with respect to anycontract or anything related to the contract, such as its fulfillment or breach thereof, as well as its liability with respect to manufacturing, sale, delivery, resale, installation or technicalinstructions regarding the installation, repair or use of the material covered by or furnishedunder this contract, in tort, or otherwise, shall not exceed the price of the material or parts on which such liability is based.
12. Unless otherwise indicated in the quotation, prices include a copy of the plan drawingsrequested by the Buyer in his quotation request. If additional drawings are needed or if theBuyer has made changes, this service will be offered only upon receipt of a written notificationauthorizing additional charges for such additional drawings.
13. Head Office should be contacted regarding special requirements for equipment intended fornuclear use.

WARRANTY

1. The Seller warrants to the initial Buyer, for a maximum period of 18 months from the date ofshipment or 12 months from the date of their installation, whichever comes first, that all new products manufactured by the Seller and all materials used for their fabrication are free from manufacturing defects, and that the Seller shall, exclusive of any other liability, and under condition of having been notified promptly in writing of such alleged defect, carry out, at his choice, the repair or the replacement, at its discretion, F.O.B. its factory or where the product is located. This warranty does not apply in cases of defective installation of the product, normal wear and tear, abnormal or abusive use, deficient maintenance, repair by others than the Seller or fortuitous events, nor in cases of abrasion, corrosion or erosion. This warranty does not cover any direct, special, incidental or indirect damages that may result from the use or any defect of the Seller's products.
2. THE ABOVE EXPRESS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES THAT THE GOODS ARE OF MERCHANTABILITY AND FIT FOR THE USE FOR WHICH THEY ARE INTENDED, AND CONSTITUTES THEEXCLUSIVE WARRANTY MADE BY THE SELLER.
3. The only warranties applicable to products manufactured by others and distributed by the Seller are those offered by the manufacturer of such products, and only such manufacturer may be held liable for them.
